These regulations define the rules for making purchases in an online store operated by the Seller at www.miekkieb2b.com

  • 1 Definitions
  1. Regulations - these online store regulations.
  2. Online Store - an Internet service at www.miekkieb2b.com, through which the Seller offers the sale of products and services online.
  3. The store is intended for business entities from Poland and abroad.

Seller - a company under the name of IMM DESIGN SP. Z O.O. with its registered office in Mysiadło, which is registered at the following address: ul. Kwiatowa 16A, 05-500 Mysiadło, entered in the Register of Entrepreneurs kept by the District Court for the Capital City of Warsaw Warsaw in Warsaw, XIV Economic Department of the National Court Register under KRS number: 676853, with a tax identification number NIP 7010688645, which sells the Goods via the Online Store on the terms set out in these Regulations.

  1. Working Days - days counted from Monday to Friday, excluding public holidays.
  2. Customer - an Entrepreneur who, in accordance with the rules set out in these Regulations, makes Orders in the Online Store.
  3. Entrepreneur - a natural person, legal entity and organizational unit, not being a legal person, whose separate law grants legal capacity, performing business activity on its own behalf. Entrepreneurs in the civil partnership are also considered entrepreneurs in the scope of their business activity.
  4. Subject of the transaction - Goods listed and described on the website of the Online Store.
  5. Goods - a movable item, presented in the Online Store, to which the Sales Agreement applies.
  6. Sale Agreement - a contract for the sale of Goods within the meaning of the Civil Code, concluded between the Seller and the Customer, using the Online Store website.
  7. Order - Customer's declaration of will clearly specifying the type and quantity of the Goods, aimed directly at the conclusion of the Sales Agreement.
  8. Civil Code - the Act of 23 April 1964 (Journal of Laws No. 16, item 93, as amended).

  • 2 General Rules
  1. These Regulations define the rules of using the Online Store available at www.miekkieb2b.com
  2. The condition for placing an Order in the Online Store by the Customer is to read these Regulations and accept its provisions during the execution of the Order. Placing an Order is tantamount to a declaration of acceptance of the provisions of these Regulations.
  3. The Seller conducts wholesale sales via the Online Store. The Seller conducts wholesale sales in quantities no smaller than indicated in requirement 2, paragraph 10.
  4. The Store is intended for making Orders for Goods only by Entrepreneurs.
  5. Information about the Goods The Seller places in the Online Store.
  6. The products offered in the Online Store have the highest European quality certificates and are safe for health.
  7. All Goods offered on the Online Store are brand new, originally packed, free from physical and legal defects and have been legally placed on the Polish market.
  8. All pictures of the available Goods can be found at www.miekkieb2b.com. The colors of products visible on the screen of a computer / telephone may differ from the colors of the actual product.
  9. With every picture of the available Goods, a net price is given for 1 meter or 1 item of the Goods, type of fabric, width and its weight.
  10. Knitted fabrics and fabrics are sold in coupons of material wound on cardboard brerets of 8 m or 10 m or 13.7 m. NOTE - the quantity of Goods per 1 bret may be different from the specified in the Customer Order. The customer pays for the actual amount of material wound up in the city of Braşov.
  11. In order to place the first Order, the Customer should in turn:
  12. register (log in if there has been an earlier registration) on the website www.miekkieb2b.com
  13. send in the return e-mail information about the company's registration details (ie NIP number, KRS number) and information about the business activity
  14. obtain the acceptance of the store administrator account
  15. log in to the Store

 

  1. In order to place an Order in the Online Store, the Customer must meet the following technical requirements necessary to cooperate with the ICT system used by the Seller:
  2. Have an e-mail account (e-mail).
  3. Have a computer, smartphone or tablet with the operating system: Windows, Mac OS X, Linux or Android.
  4. Have an Internet browser installed in the given version or higher: Internet Explorer – v ersion 9, Chrome - version 46, Safari - version 8, Firefox - version 41, Opera - version 32.
  5. The Customer is obliged to use the Online Store in a manner consistent with the law and morality, keeping in mind respect for personal rights and copyrights, property rights and intellectual property of the Seller and third parties.
  6. The customer is obliged not to deliver content prohibited by law.
  7. The Customer uses the Goods purchased from the Online Store at his own risk.
  8. These Regulations are addressed to Entrepreneurs using the Online Store.

 

  • 3 Prices
  1. All prices given in the Online Store are net prices given in Polish zloty or EURO.
  2. The price of the Goods shall be added to the VAT tax in accordance with applicable regulations, delivery costs in the amount indicated in §6 for delivery chosen by the Customer.

 

  • 4 Placing orders
  1. Orders are accepted by the Seller via the Online Store.
  2. The minimum order amount is 1000 PLN or 250 Euro. Lower orders will not be processed by the Seller.
  3. Orders in the Online Store can be placed 24 hours a day, 7 days a week throughout the year.
  4. Orders in the Online Store will be carried out on Business Days from 9.00 to 17.00.
  5. Placing an Order consists in completing the order form in the Online Store.
  6. The order is effectively submitted if the customer correctly completes the order form and correctly provides the contact details: the exact address to which the order is to be sent, and the telephone number and e-mail address.
  7. When that the data provided are not complete, the Seller will contact the Customer. If contact with the customer is not possible, the seller has the right to cancel the order.
  8. After the Customer submits an valid Order, he will receive an automatic reply from the store confirming the receipt of the Order.
  9. Then, within the next 3 business days, the Customer will receive by e-mail a VAT invoice for the Order containing the actual quantity and value of the products offered, the actual shipping costs and the payment details.
  10. The invoice should be paid within 7 business days. If the invoice is not paid within this period, the order will be canceled.

 

  1. The implementation of the Order begins after the payment by the Customer. In the absence of ordered Goods in the warehouse, the Seller will inform the Customer about this fact and the associated extension of the time of the Order completion immediately, no later than within 72 hours.

 

  1. The Seller may ask the Customer to pay an advance for the completion of an individual order or to bring goods to order. The advance will be min. 25% maximum 100% of the value of the ordered product.

 

  1. The sales contract is concluded in Polish.
  2. The Online Store sells in Poland and other countries.

 

  • 5 Payment methods for the Order
  1. The Seller provides the Customer with the following methods of payment under the Sales Agreement:

- Payment by bank transfer to the Seller's bank account.

  1. Customer is supposed to put order number in money transfer title

 

  • 6 Cost and delivery time
  1. The order is sent to the address indicated in the Order form. The customer will be informed immediately about an incorrectly filled Order Form that prevents shipment or may delay it.
  2. The Seller provides the Customer with the following delivery methods:
  3. Domestic courier shipment in the price from 13.00 to 19.00 PLN gross for 1 one packet up to 30 kg
  4. International courier shipments at the price given in the table below. The table contains net shipping prices for 1 package.

  1. The total duration of the Order is a maximum of 5 Business Days from the date of payment of the Order by the Customer, however the Online Store makes every effort to ensure that the Orders are processed as soon as possible.
  2. Shipping costs will be given to each customer individually together with a summary of the order.

   

  1. Within Poland, the delivery date of the goods to the Customer is a maximum of 3 Business Days, unless a different date is specified in the description of the given Goods.
  2. Each parcel is insured.
  3. It is recommended that the Customer should assess the condition of the goods and its compliance with the Order upon delivery by Courier and in his presence. In the event of a loss or damage to the product, it is recommended that a courier report is prepared in the presence of the courier (a courier is required to print this report), describing the damage and refusing to accept the goods.
  4. The online store does not bear the costs of customs duty. In the case of a Delivery Order to a destination outside the borders of the Member States of the European Union, the customer must take into account the customs duties. All matters related to customs duties lie with the Buyer. Detailed information about the amount of fees payable may be found on the website of the Integrated Tariff of the European Communities (TARIC).   • 7 Complaint procedure
  1. The Seller is obliged to provide the Customer with Goods without defects.
  2. The basis and scope of the Seller's liability towards the Customer are defined by generally applicable laws, in particular in the Civil Code.
  3. The Seller is liable to the Customer if the Product has a physical or legal defect.
  4. Complaints may be submitted by the Customer, for example:

  6. In electronic form, via e-mail, to the Seller's address: sales@miekkieb2b.com
  7. It is recommended that the Customer provide the following data on the complaint form:
  8. Name and surname.
  9. Address.
  10. E-mail address.
  11. Date of placing the order.
  12. The subject of the complaint, indicating the request.
  13. Any circumstances justifying the complaint.
  14. Scan the order fulfillment document attached to the package
  15. The Client will be informed about the settlement of the complaint by e-mail or traditional mail.
  16. When submitting a complaint, the advertised product should be delivered to the Seller together with the complaint application.
  17. The Seller will address the customer's complaint promptly, as soon as possible. Lack of the Seller's attitude in the above-mentioned time does not mean that the Seller has considered the complaint justified.
  18. In the case of considering a complaint in favor of the Customer, the Seller will repair or replace the advertised goods for a new, wholesome or refund the value of the purchased Goods.
  • 8 Additional Provisions
  1. The Seller may, within 14 calendar days, withdraw from the sales contract concluded with the Entrepreneur, without giving a reason.
  2. In the event of withdrawal from the contract by the Seller, the Entrepreneur has no claims against the Seller.
  3. The Seller may limit the available payment methods to the Entrepreneur.
  4. At the moment of the Seller's release of the Goods to the carrier, the Entrepreneur passes benefits and burdens associated with the Goods.
  5. When the goods are handed over to the carrier, the seller ceases to be liable for any loss, depletion or damage to the Goods arising from accepting it for transport until it is handed over to the Entrepreneur and for delay in transporting the shipment.
  6. Benefits and burdens associated with the Goods are transferred to the Entrepreneur upon the release of the Goods by the Seller to the carrier.
  7. If the Seller sends the Goods to the Entrepreneur via the carrier, the Customer is obliged to inspect the parcel in time and in the manner accepted for such parcels. If he determines that during the transport there was a loss or damage to the Goods, he is obliged to perform all actions necessary to determine the liability of the carrier.
  8. The liability of the Seller under the warranty for Goods to the Entrepreneur is excluded.

 

  • 9 Final provisions
  1. A customer who has an account in the Online Store will be informed about the change of the Regulations by means of email correspondence.
  2. The Customer who does not accept the changes introduced in the Regulations, has the right to delete the account at any time.
  3. Orders placed by the Customer before the amendments to the Regulations come into force will be implemented in accordance with the current provisions of the Regulations.
  4. In matters not covered by these Regulations, generally applicable provisions of Polish law shall apply, in particular the Civil Code,
  5. Disputes arising from the application of these Regulations and in connection with the execution of contracts concluded between the Seller and the Entrepreneur shall be resolved by the court having jurisdiction over the seat of the Seller.
  6. The administrator of personal data processed in connection with the implementation of the provisions of these Regulations is the Seller. Personal data are processed only for the purpose of issuing an invoice, bill or conducting financial reporting. Providing personal information is voluntary. Any person whose personal data is processed

The Seller has the right to inspect their content and the right to update and correct them.
